Esotericks Terms of Use

These Website Terms of Use, together with any documents expressly incorporated by reference herein (collectively, the “Terms”), constitute a legally binding agreement between you and Esotericks (“Esotericks,” “we,” “us,” or “our”), governing your access to and use of the Esotericks website, webpages, forms, materials, content, communications, and related online functionality (collectively, the “Site”).

By accessing, browsing, submitting information through, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms in full, you are not authorized to access or use the Site and must immediately discontinue use.

These Terms are intended for a website that provides general information about Esotericks and permits visitors to contact Esotericks. These Terms are not a private placement memorandum, limited partnership agreement, investment management agreement, subscription agreement, advisory agreement, disclosure brochure, Form ADV, investor questionnaire, or other offering or governing document.

1. Nature of Esotericks and the Site

Esotericks is described on the Site as an automated, artificial intelligence-driven investment fund or investment strategy platform that may use quantitative models, algorithmic systems, machine learning methods, statistical techniques, automated execution tools, and/or other technology-enabled processes in connection with investment research, portfolio construction, trading, risk management, or related activities.

The Site is made available solely to provide general background information regarding Esotericks, the nature of its business, and contact functionality. The Site is not intended to provide individualized investment advice, portfolio management services, brokerage services, tax advice, legal advice, accounting advice, fiduciary advice, or any professional recommendation to any visitor.

2. No Offer, Solicitation, Recommendation, or Advisory Relationship

Nothing on the Site constitutes, and nothing on the Site shall be construed as, an offer to sell, a solicitation of an offer to buy, or a recommendation to purchase, subscribe for, redeem, hold, sell, or otherwise transact in any security, fund interest, limited partnership interest, membership interest, investment product, financial instrument, strategy, account, or advisory service.

No content on the Site constitutes investment advice or a recommendation within the meaning of any applicable securities law, commodities law, investment adviser regulation, self-regulatory organization rule, fiduciary standard, or similar legal or regulatory requirement.

No advisory, fiduciary, client, customer, broker, dealer, investment adviser, manager, partnership, agency, attorney-client, accountant-client, confidential, or other special relationship is created by your access to or use of the Site, your review of any Site content, your submission of a contact form, or any preliminary communication with Esotericks.

Any offer or sale of any fund interest or investment product, if made, will be made only through definitive confidential offering documents, subscription materials, governing agreements, risk disclosures, investor qualification materials, and other documentation authorized by Esotericks, and only in jurisdictions where such offer or sale is lawful.

3. Private Fund and Investor Eligibility

Any investment opportunity associated with Esotericks, if available, may be suitable only for persons who satisfy applicable eligibility requirements, which may include, without limitation, status as an “accredited investor,” “qualified client,” “qualified purchaser,” “professional investor,” “eligible contract participant,” or other legally required investor status under applicable law.

Submission of information through the Site does not establish eligibility, does not reserve an allocation, does not create any right to receive offering materials, does not constitute acceptance by Esotericks, and does not obligate Esotericks to respond, provide access, enter into discussions, or accept any investment.

Esotericks may decline to provide information, restrict communications, or reject any person for any reason or no reason, including if Esotericks determines, in its sole discretion, that a communication may raise regulatory, legal, suitability, confidentiality, business, reputational, or operational concerns.

4. No Public Offering; Restricted Access to Investment Materials

The Site is not intended to constitute general investment advertising where prohibited, a public offering, or a general solicitation in any jurisdiction where such activity would be unlawful or would require registration, licensing, notice filing, or other regulatory action that has not been completed.

Any descriptions of Esotericks, its technology, investment approach, risk controls, research process, operational framework, or business activities are summary in nature, incomplete, subject to change without notice, and qualified in their entirety by the applicable definitive documents, if any.

Access to offering materials, investor presentations, data rooms, performance materials, subscription documentation, or other non-public information may be limited to persons who satisfy applicable legal, regulatory, and internal eligibility standards and who complete any verification, due diligence, confidentiality, and compliance procedures required by Esotericks.

5. AI, Automation, Algorithmic, and Model Risk

Esotericks may rely on automated systems, artificial intelligence, machine learning, statistical models, algorithmic processes, third-party data, third-party infrastructure, execution systems, and other technology-dependent tools. Such systems may be subject to material limitations and risks, including programming errors, model error, data error, corrupted or incomplete data, stale data, biased data, overfitting, underfitting, model drift, signal decay, adverse market regimes, execution latency, cyber events, system outages, infrastructure failures, third-party failures, unexpected interactions among systems, and other operational or investment risks.

No AI system, model, algorithm, automation, trading process, research process, or risk-management framework can eliminate investment risk, guarantee profits, prevent losses, or reliably predict future market behavior. Any statement describing Esotericks’ use of AI, automation, quantitative models, or related technologies is not a representation that such technology will produce positive investment results or avoid loss.

Site content regarding AI, models, automation, or technology is intended only as a general description of capabilities, objectives, or processes. It should not be relied upon as a complete technical specification, audit report, assurance report, representation of system performance, or guarantee of technological functionality.

6. Investment Risk and No Performance Guarantee

Investing involves substantial risk, including the possible loss of the entire amount invested. Hedge funds, private funds, automated strategies, quantitative strategies, AI-driven strategies, concentrated strategies, leveraged strategies, derivatives strategies, short strategies, high-turnover strategies, and other alternative investment strategies may involve risks that are materially greater than those associated with traditional investments.

Past performance, historical returns, simulated results, model outputs, forecasts, targets, projections, backtests, hypothetical results, scenario analyses, benchmark comparisons, or illustrative examples, if any appear on or are referenced by the Site, do not guarantee or predict future results and may be materially different from actual results.

Performance information may be affected by assumptions, fees, expenses, leverage, liquidity, market impact, tax considerations, benchmark selection, data limitations, survivorship bias, selection bias, timing, execution quality, and other factors. You must not rely on Site content as a basis for making any investment decision.

7. No Reliance; Independent Investigation

You acknowledge and agree that you are solely responsible for conducting your own independent investigation, evaluation, due diligence, and professional consultation before making any decision involving Esotericks, any investment fund, any investment strategy, or any financial transaction.

You further acknowledge that you have not relied, and will not rely, on any Site content, summary description, oral statement, email, contact-form response, marketing statement, model description, technology description, performance reference, or preliminary communication as a basis for any investment, legal, tax, accounting, regulatory, operational, or financial decision.

Any person considering an investment must carefully review the definitive offering documents and governing agreements, must consult their own professional advisers, and must evaluate whether the investment is appropriate in light of their objectives, financial circumstances, liquidity needs, risk tolerance, tax position, legal restrictions, and overall portfolio.

8. Accuracy, Completeness, and Changes to Information

Although Esotericks may endeavor to provide information that it believes to be reasonable at the time posted, Esotericks makes no representation, warranty, covenant, or undertaking that Site content is accurate, complete, current, error-free, suitable, reliable, uninterrupted, or appropriate for any particular purpose.

Site content may become outdated, may be superseded, may omit material information, and may be changed, withdrawn, or corrected at any time without notice. Esotericks has no obligation to update any Site content, correct any inaccuracy, maintain any functionality, or provide any notice of modification, suspension, or discontinuance.

10. Regulatory Status and Compliance

Unless expressly stated in definitive regulatory filings or written disclosures authorized by Esotericks, nothing on the Site should be understood to mean that Esotericks, any affiliated entity, or any personnel are registered, licensed, approved, endorsed, sponsored, supervised, or recommended by the U.S. Securities and Exchange Commission, the Commodity Futures Trading Commission, the Financial Industry Regulatory Authority, any state securities authority, any non-U.S. regulator, any exchange, or any self-regulatory organization.

Registration with or supervision by any regulator, if applicable, does not imply any particular level of skill, training, approval, profitability, safety, or absence of risk. Esotericks may be subject to different regulatory regimes depending on its legal structure, jurisdiction, activities, assets under management, investor base, trading activity, and other facts and circumstances.

11. Contact Forms and Communications

The Site may allow you to submit contact information, inquiries, or other messages. By submitting information, you represent that all information you provide is truthful, accurate, current, complete, and submitted by you on your own behalf or with proper authority.

Esotericks is not obligated to treat unsolicited submissions as confidential, proprietary, or privileged unless a separate written confidentiality agreement has been executed by an authorized representative of Esotericks. You should not submit confidential, sensitive, regulated, trade-secret, personal financial, or non-public information through the Site unless specifically requested by Esotericks through secure channels.

Submitting a contact form does not create any obligation on Esotericks to respond, provide information, conduct diligence, accept an investment, enter into a business relationship, or maintain communications.

12. User Conduct

You agree not to access or use the Site for any unlawful, fraudulent, deceptive, abusive, harmful, defamatory, harassing, infringing, disruptive, or unauthorized purpose.

You shall not attempt to interfere with, disable, compromise, reverse engineer, scrape, crawl, index, copy, overload, probe, scan, test, bypass, or circumvent the Site, its security features, its access controls, its infrastructure, or any related systems, except to the extent such restriction is prohibited by applicable law.

You shall not use the Site to transmit malware, malicious code, unauthorized automated requests, false information, impersonation attempts, spam, or materials that infringe the rights of Esotericks or any third party.

13. Intellectual Property

The Site and all content, text, graphics, designs, trade names, trademarks, service marks, logos, software descriptions, models descriptions, compilations, layouts, databases, interfaces, business descriptions, and other materials are owned by or licensed to Esotericks and are protected by intellectual property, unfair competition, trade secret, and other applicable laws.

Except for limited personal, non-commercial viewing of the Site, you are not granted any license, right, title, or interest in or to any Site content or Esotericks intellectual property. You may not copy, reproduce, distribute, display, publish, modify, translate, sell, license, create derivative works from, frame, mirror, scrape, or otherwise exploit any Site content without Esotericks’ prior written consent.

14. Third-Party Content, Data, and Links

The Site may reference third-party websites, data, tools, vendors, research, platforms, service providers, market information, or other resources. Esotericks does not control, endorse, verify, or assume responsibility for third-party content, availability, security, policies, accuracy, or practices.

Third-party links or references are provided, if at all, solely as a convenience. Your use of third-party resources is at your own risk and may be governed by separate third-party terms and policies.

15. Privacy and Data Security

Your use of the Site may be subject to Esotericks’ Privacy Policy, if separately posted. By using the Site or submitting information, you consent to the collection, use, retention, processing, and disclosure of information as described in applicable privacy disclosures.

No method of transmission or storage is completely secure. Esotericks does not warrant that any information submitted through the Site will be secure, confidential, uninterrupted, or immune from unauthorized access, cyber intrusion, technical failure, or other compromise.

16. Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, DESCRIPTIONS, FUNCTIONALITY, AND COMMUNICATIONS MADE AVAILABLE THROUGH OR IN CONNECTION WITH THE SITE ARE PROVIDED STRICTLY ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ESOTERICKS DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, SYSTEM AVAILABILITY, SECURITY, RELIABILITY, PERFORMANCE, PROFITABILITY, OR FREEDOM FROM ERROR.

ESOTERICKS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF VIRUSES OR HARMFUL COMPONENTS, COMPATIBLE WITH ANY SYSTEM, OR THAT ANY DEFECT WILL BE CORRECTED.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ESOTERICKS AND ITS OWNERS, MEMBERS, PARTNERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, CONSULTANTS, AFFILIATES, ADVISERS, REPRESENTATIVES, LICENSORS, SERVICE PROVIDERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, ENHANCED, OR OTHER DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR TRADING LOSSES, INVESTMENT LOSSES, LOST PROFITS, LOST OPPORTUNITIES, LOSS OF CAPITAL, LOSS OF DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, SYSTEM FAILURE, CYBER INCIDENTS, OR RELIANCE DAMAGES, ARISING OUT OF OR RELATING TO THE SITE, SITE CONTENT, CONTACT-FORM SUBMISSIONS, PRELIMINARY COMMUNICATIONS, AI-RELATED DESCRIPTIONS, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ESOTERICKS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).

18. Indemnification

You agree to defend, indemnify, and hold harmless Esotericks and its owners, members, partners, managers, directors, officers, employees, contractors, consultants, affiliates, advisers, representatives, licensors, service providers, and agents from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees and costs, arising out of or relating to your access to or use of the Site, your submission of information, your violation of these Terms, your violation of applicable law, your infringement or misappropriation of any third-party right, or your misuse of Site content.

19. Equitable Relief

You acknowledge that any unauthorized use of Esotericks’ intellectual property, confidential information, systems, Site content, technology descriptions, or proprietary materials may cause irreparable harm for which monetary damages would be inadequate. Esotericks shall be entitled to seek temporary, preliminary, and permanent injunctive relief, specific performance, and other equitable remedies without the necessity of posting bond, in addition to any other rights and remedies available at law or in equity.

20. Governing Law

These Terms and any dispute, claim, controversy, or cause of action arising out of or relating to the Site, Site content, communications, or these Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without giving effect to any conflict-of-law principle that would require application of another jurisdiction’s law.

Subject to the arbitration provision below, any court proceeding arising out of or relating to these Terms, the Site, or Site content shall be brought exclusively in the state and federal courts located in Oakland County, Michigan, and you consent to the personal jurisdiction and venue of such courts.

21. Binding Arbitration; Class Action Waiver; Jury Trial Waiver

To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to the Site, Site content, communications with Esotericks, or these Terms shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its applicable rules. The seat and venue of arbitration shall be Oakland County, Michigan. The arbitration shall be conducted in English by a single arbitrator, unless otherwise required by applicable law or agreed in writing by the parties.

YOU AND ESOTERICKS AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY BETWEEN YOU AND ESOTERICKS SHALL BE BROUGHT AND RESOLVED ONLY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR ESOTERICKS MAY BRING, MAINTAIN, PARTICIPATE IN, OR RECOVER RELIEF IN ANY CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION, WHETHER IN COURT, ARBITRATION, OR ANY OTHER PROCEEDING, EXCEPT TO THE EXTENT SUCH WAIVER IS PROHIBITED BY APPLICABLE LAW.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ESOTERICKS KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS.

Notwithstanding the foregoing, Esotericks may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, systems, security, or proprietary rights.

22. Time Limitation on Claims

To the maximum extent permitted by applicable law, any claim arising out of or relating to the Site or these Terms must be commenced within one (1) year after the claim accrues, or such claim shall be permanently barred.

23. International Use

The Site may be operated from the United States or another jurisdiction selected by Esotericks. Esotericks makes no representation that the Site, Site content, or any related communication is lawful, appropriate, available, or permitted in any particular jurisdiction.

You are solely responsible for compliance with all laws applicable to your access to and use of the Site, including securities laws, investment laws, commodities laws, sanctions laws, export controls, privacy laws, and local regulatory requirements. You may not access or use the Site from any jurisdiction where such access or use would be unlawful.

24. Sanctions and Restricted Persons

You represent that you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions administered by the United States or other applicable authorities; that you are not identified on any sanctions, restricted-party, blocked-person, or prohibited-person list; and that you will not use the Site in violation of applicable sanctions, anti-money laundering, anti-corruption, counter-terrorism financing, or export control laws.

25. Modification, Suspension, and Termination

Esotericks may modify these Terms at any time by posting revised Terms or otherwise providing notice as Esotericks determines appropriate. Your continued access to or use of the Site after revised Terms are posted constitutes your acceptance of such revised Terms.

Esotericks may suspend, restrict, modify, or terminate the Site, Site content, functionality, or your access at any time, with or without notice, for any reason or no reason, without liability.

26. Severability; Waiver; Assignment

If any provision of these Terms is held invalid, illegal, void, or unenforceable, such provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in full force and effect.

No waiver by Esotericks of any term or condition shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Esotericks may assign, transfer, or delegate its rights and obligations under these Terms without restriction. You may not assign or transfer any rights or obligations under these Terms without Esotericks’ prior written consent.

27. Entire Agreement; Interpretation

These Terms constitute the entire agreement between you and Esotericks with respect to your access to and use of the Site and supersede all prior or contemporaneous understandings, communications, and agreements regarding the Site.

Headings are for convenience only and shall not affect interpretation. The words “including,” “includes,” and similar terms shall be deemed to mean “including without limitation.” Any rule of construction resolving ambiguity against the drafting party shall not apply to these Terms.
